XANGLE COMMERCIAL SOFTWARE LICENSE AGREEMENT Effective date: October 13, 2026 IMPORTANT: READ THIS AGREEMENT CAREFULLY. BY INSTALLING, ACTIVATING, ACCESSING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THIS AGREEMENT. 1. PARTIES This Commercial Software License Agreement (Agreement) is between Eric Pare Studio inc., a corporation incorporated in Quebec, Canada, with its principal place of business in Montreal, Quebec (Licensor), and the purchaser or end user identified in the applicable order, invoice, checkout, or other purchase record (Customer). 2. SOFTWARE IS LICENSED, NOT SOLD The software, including all related applications, files, updates, features, documentation, and materials provided by Licensor (Software), is proprietary and is licensed, not sold. Licensor and its licensors retain all right, title, and interest in and to the Software and all related intellectual property rights. The Software may include or be distributed with third-party components that are licensed under separate open-source or other third-party license terms (Third-Party Components). Those license terms are independent of this Agreement and shall control with respect to the applicable Third-Party Components. Nothing in this Agreement limits, overrides, or restricts any rights granted under such third-party license terms. 3. LICENSE GRANT Subject to Customer's compliance with this Agreement and payment of all applicable fees, Licensor grants Customer a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Software during the applicable License Term solely for Customer's internal business purposes and only in accordance with the purchased plan, activation limits, seat limits, device limits, and documentation. 4. LICENSE PLANS AND TERM The Software may be offered under one or more of the following license plans, as specified in the applicable order: A. Monthly Subscription with Annual Commitment. This plan begins on the activation date and continues for an initial committed term of twelve months. Fees are billed monthly during that committed term. Unless the applicable order expressly states otherwise, this plan does not renew automatically. B. One-Month Fixed-Term License. This plan begins on the activation date and continues for one month. It expires automatically at the end of that term and does not renew automatically. C. One-Year Fixed-Term License. This plan begins on the activation date and continues for one year. It expires automatically at the end of that term and does not renew automatically. All rights to use the Software end automatically when the applicable License Term expires, unless Customer purchases a renewal or replacement term. 5. FEES, PAYMENT, AND CANCELLATION All fees are stated in the applicable order and are non-refundable except as required by law or expressly stated by Licensor in writing. For the Monthly Subscription with Annual Commitment, Customer remains responsible for all monthly charges for the full twelve-month committed term, even if Customer stops using the Software before the end of that term, unless Licensor expressly agrees otherwise in writing or applicable law requires otherwise. Licensor may suspend access to the Software for late payment, failed payment, chargebacks, or other payment disputes. 6. ACTIVATION AND AUTHORIZED USE Customer may use the Software only for the number of users, devices, workstations, locations, or other limits specified in the applicable order. Customer is responsible for maintaining the confidentiality of license credentials and for all use under Customer's account or activation. For purposes of this Agreement, a User is an individual person authorized by Customer to access or use the Software on Customer's behalf, and a Device is a single computer or workstation on which the Software is installed or activated. Unless the applicable order expressly states otherwise, licenses are limited to Customer's own employees and individual contractors acting solely on Customer's behalf. Customer shall not permit concurrent use in excess of the purchased seat, user, or device limits, and any reassignment of a User or Device must correspond to a genuine personnel or hardware change. 7. RESTRICTIONS Customer shall not, and shall not permit any third party to: A. copy, modify, adapt, translate, or create derivative works of the Software except as expressly permitted by this Agreement or mandatory law; B. reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying ideas, algorithms, or non-public interfaces of the Software, except to the limited extent such restriction is prohibited by applicable law; C. sell, resell, rent, lease, sublicense, distribute, transfer, assign, timeshare, or otherwise make the Software available to any third party; D. remove, alter, or obscure any proprietary notices, labels, or technical protections; E. bypass, disable, defeat, or interfere with licensing, activation, usage limits, telemetry, authentication, or security features; F. use the Software in violation of law or for unlawful, infringing, deceptive, or harmful activity. G. use the Software, or permit it to be used, as part of a software-as-a-service, hosted service, service bureau, time-sharing, managed service, automated processing service, or similar cloud or remote processing offering for third parties, except for Licensor-operated hosted features expressly included in the Software or separately authorized in writing by Licensor. 8. UPDATES AND SUPPORT Unless expressly included in the applicable order, Licensor is not obligated to provide support, maintenance, updates, upgrades, patches, fixes, or new features. Any support or updates provided by Licensor are governed by this Agreement unless Licensor states otherwise in writing. 9. SUSPENSION AND TERMINATION Licensor may suspend or terminate this Agreement or Customer's access to the Software immediately if Customer breaches this Agreement, fails to pay amounts due, exceeds authorized use limits, or uses the Software in a prohibited manner. Customer may stop using the Software at any time, but doing so does not relieve Customer of payment obligations already incurred or committed under the applicable order. 10. EFFECT OF EXPIRATION OR TERMINATION Upon expiration or termination of the applicable License Term or this Agreement: A. the license granted to Customer ends immediately; B. Customer must stop all use of the Software; C. Customer must uninstall and delete all copies of the Software, except to the extent retention is required by law; D. any rights to support, updates, hosted features, or online services end immediately. 11. PRIVACY AND DATA Customer acknowledges that use of the Software may involve the collection, transmission, or processing of technical, diagnostic, operational, account, or usage data as described in Licensor's applicable privacy terms. Customer is responsible for providing any notices and obtaining any consents required for Customer's use of the Software. 11A. CLOUD PROCESSING AND IMAGE DATA Certain optional features, including Cloud Alignment and Cloud Splat, transmit image files and related metadata selected by Customer to Xangle and its service providers for the requested processing operation. Customer confirms that it has all rights and permissions necessary to submit that content. Processing input and output files are held in temporary cloud storage while a job is processed and its results are delivered. After the Software confirms that results have been downloaded, or a job fails or is cancelled, Xangle requests deletion of the processing files from active transfer storage. Cleanup may be delayed by technical failures or by service-provider backup and retention systems. Images may be processed to produce the requested output, including training a scene-specific Gaussian Splat. Xangle does not use submitted images to train general-purpose or cross-customer models, for unrelated analysis, or for marketing. Service providers may process the files only as needed to provide and secure the requested service, subject to their applicable terms and retention practices. Files downloaded to Customer's device are outside Xangle's control. Credit, job, and service records are separate from image files and may be retained after processing files are deleted as described in the applicable Privacy Policy. Customer is solely responsible for ensuring that submission of images through cloud processing features complies with applicable laws, including privacy laws governing the individuals depicted in those images, and any contractual obligations Customer may have to its own clients. For clarity, this Section 11A authorizes Customer only to submit data that Customer is authorized to process through Licensor-operated cloud features made available by Licensor. It does not grant Customer the right to host, expose, resell, or operate the Software or any of its processing capabilities as a service for third parties unless Licensor expressly authorizes that use in writing. 11B. CUSTOMER DATA AND OUTPUTS As between Licensor and Customer, Customer retains all right, title, and interest in and to Customer's images, videos, media files, project files, prompts, metadata, and other materials submitted to or processed by the Software, as well as the outputs generated from them, subject to third-party rights and Licensor's ownership of the Software itself. Except as necessary to provide the Software, support, or hosted features requested by Customer, Licensor acquires no ownership rights in Customer data or outputs. 11C. CLOUD CREDITS AND PRICING Where Cloud Credits are offered, they are usage units for eligible services and are not cash or a promise of a fixed amount of processing. Credit costs depend on the service and its workload, such as image count, training steps, image resolution, and rendered video frames. Creating an MP4 adds a rendering charge to Splat training; training alone does not include that rendering charge. Xangle may adjust service rates from time to time as computing, storage, delivery, or provider costs, market conditions, technology, availability, and other operating conditions change, to keep services cost-efficient. Credit pack prices, included credit grants, usage limits, and calculation methods may also change prospectively, subject to applicable law and any required notice. Current service rates are published at https://xangleapps.com/cloud-credits, and pack prices are shown in the applicable purchase flow. A displayed estimate is not a price guarantee and may change before a job is submitted and its credits are reserved. Once credits have been reserved for a job, its recorded rate will not be changed retroactively. A pricing change does not alter the number of credits already posted to Customer's balance, but may change the credits required for future services. Changes apply to future purchases and service requests from their stated effective time. 11D. OPTIONAL AI ASSISTANT Assistant is an optional AI-powered feature for documentation questions and supported editing tasks. By accepting this Agreement and submitting an Assistant request, Customer authorizes the processing described in this section without a separate first-use approval. Merely opening Assistant does not authorize an unsolicited AI request. Customer may avoid this optional processing by not submitting requests. Requests may transmit Customer's prompts, limited conversation history, the selected document or preset source, relevant editor settings, camera capabilities and geometry, and product documentation through Xangle Portal to AI service providers, currently including Google Gemini. These requests use text and structured context; underlying images or videos are not uploaded by Assistant unless a separately disclosed feature requires them. Customer must have the rights and permissions necessary to submit this information and must not include credentials, secrets, or personal or confidential information that Customer is not authorized to share. Xangle processes requests to provide and secure the requested service, validate responses, recover interrupted requests, and administer usage. Stable instructions and camera context may be temporarily cached by the provider. Processing may occur outside Customer's jurisdiction. Provider processing, security logging, retention, and any permitted use for service improvement are subject to the provider's applicable terms and privacy practices; Xangle does not promise immediate deletion from provider systems or that all provider processing is confined to Customer's country. The applicable Privacy Policy describes local history and service-record retention. Starting a new chat clears its active local history but does not erase separate service, billing, or provider records. AI replies may be inaccurate, incomplete, or unsuitable and are not professional advice. Supported proposals may automatically change the current editor or preset and may be saved when Auto-save is enabled. Customer is responsible for reviewing changes and outputs, keeping appropriate backups, and supervising camera, rendering, publishing, and other operational actions. Existing application confirmations and capability limits still apply; an AI reply does not override them. No successful result is guaranteed. Assistant requests may consume Cloud Credits at the applicable service rate. The chat may omit per-request prices and charge indicators. Submitting a request authorizes its applicable charge once accepted and reserved, including if generation fails or produces no usable or satisfactory answer. Requests rejected before reservation are not charged. Recovery or repair of the same request does not create another charge; a new request may incur a new charge. The recorded rate is not changed retroactively. This paragraph governs Assistant disclosure and charging where it differs from the pre-submission display language in Section 11C, subject to mandatory law. 12. DISCLAIMER OF WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. CUSTOMER IS SOLELY RESPONSIBLE FOR SELECTING, POWERING, CONNECTING, AND OPERATING ALL CAMERAS, LENSES, BATTERIES, BATTERY COUPLERS, POWER SUPPLIES, CABLES, HUBS, COMPUTERS, MOBILE DEVICES, AND OTHER THIRD-PARTY HARDWARE OR ACCESSORIES USED WITH THE SOFTWARE. LICENSOR DOES NOT WARRANT COMPATIBILITY WITH EVERY FIRMWARE VERSION, DRIVER, ACCESSORY, NETWORK ENVIRONMENT, OR THIRD-PARTY DEVICE. CUSTOMER IS RESPONSIBLE FOR REVIEWING THE MANUFACTURER'S WARRANTY TERMS AND OPERATING GUIDELINES FOR ALL SUCH HARDWARE, INCLUDING ANY RESTRICTIONS REGARDING THIRD-PARTY OR NON-OEM BATTERIES AND BATTERY COUPLERS. 13. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY CAMERA OR OTHER HARDWARE MALFUNCTION, FAILURE, DAMAGE, OVERHEATING, DATA LOSS, OR ANY DENIAL, LIMITATION, OR LOSS OF MANUFACTURER WARRANTY COVERAGE, INCLUDING IN CONNECTION WITH THE USE OF THIRD-PARTY OR NON-OEM BATTERIES, BATTERY COUPLERS, POWER SUPPLIES, CABLES, HUBS, OR OTHER ACCESSORIES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER FOR THE SOFTWARE DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR, IF THE CLAIM RELATES TO A SHORTER FIXED-TERM LICENSE, THE AMOUNT PAID FOR THAT LICENSE TERM. 14. GOVERNING LAW This Agreement is governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, excluding conflict of laws rules. The courts located in the judicial district of Montreal, Quebec, Canada shall have exclusive jurisdiction over disputes arising out of or relating to this Agreement, except where applicable law requires otherwise. 15. ENTIRE AGREEMENT This Agreement, together with the applicable order and any expressly incorporated policies, is the entire agreement between the parties regarding the Software and supersedes prior or contemporaneous understandings on that subject. 16. CONTACT Questions about this Agreement should be directed to Licensor using the contact details provided in the applicable order, invoice, website, or support channel. 17. SURVIVAL Any provisions of this Agreement that by their nature should survive expiration or termination, including Sections 2, 5, 7, 10, 11, 11A, 11B, 11C, 11D, 12, 13, 14, 15, 16, and 17 through 21, shall survive. 18. ASSIGNMENT Customer may not assign, transfer, delegate, or sublicense this Agreement or any rights under it without Licensor's prior written consent. Licensor may assign this Agreement, in whole or in part, in connection with a merger, acquisition, corporate reorganization, or sale of substantially all assets relating to the Software. 19. SEVERABILITY AND WAIVER If any provision of this Agreement is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law. Any failure or delay by Licensor to enforce this Agreement or exercise a right under it does not constitute a waiver of that right or any other right. 20. EXPORT CONTROLS AND SANCTIONS Customer shall not use, access, export, re-export, release, or transfer the Software except in compliance with applicable export control, import, and economic sanctions laws and regulations. Customer represents that it is not located in, organized in, or ordinarily resident in, and is not acting on behalf of any person or entity located in or ordinarily resident in, any jurisdiction or on any restricted-party list for which such access or use would be prohibited by applicable law. 21. AMENDMENTS Licensor may update this Agreement for future versions of the Software, renewals, replacement terms, or new hosted features by posting or presenting an updated version to Customer. An updated Agreement will apply when Customer accepts it or installs, renews, accesses, or uses a version or service made available subject to the updated Agreement. Unless expressly stated otherwise, an updated Agreement does not retroactively alter the rights granted for a previously paid fixed License Term.
